By installing this Software, you are confirming your acceptance of the terms and conditions outlined below. Acceptance binds you to abide by the terms and conditions that govern the use of the Software.
This license authorizes you to use the Software according to the terms and conditions outlined below. There is no transfer of rights granted to the ownership of the Software. All title, ownership and Intellectual Property Rights remain the property of Druid Software Ltd. and/or its authorized licensor. You acknowledge that this license limits you only to the use of the Software.
This Agreement grants you the non-exclusive, non-transferable, non-sub-licensable right to use the Software for trial, non-production purposes (evaluation, testing & certification, demonstration) and Proof of Concept purposes. It is strictly forbidden to i) copy or transfer the Software to any third party, ii) modify the Software in any way or iii) attempt to decompile, disassemble or reverse engineer any portion of the Software. In addition, you have the right to make copies for the purposes of back-up and disaster recovery.
This Agreement remains in force for a fixed term of 6 (six) months from the date licenses are first activated, the Trial Period or until it is terminated in writing by you. Following notice of termination you should fully remove the Software from your system and destroy it and all documentation that relates to it. All copies of the Software and documentation should also be destroyed to ensure complete termination. If you fail to comply with the terms and conditions governing this agreement this will result in the automatic termination of the agreement. On the occurrence of such a termination, you agree to destroy the Software, all copies of the Software and all related documentation. Druid reserves the right to terminate this agreement at any time by giving written notice of termination to you. Once the Trial Period expires, the License expires immediately and the entitlement to use the Software ends immediately.
Each party may have access to Confidential Information of the other party under this Agreement. A party's Confidential Information shall not include information that: is or becomes publicly known through no act or omission of the receiving party; was in the other party's lawful possession prior to the disclosure; is lawfully disclosed to the receiving party by a third party without restriction on disclosure; is independently developed by the receiving party, which independent development can be shown by written evidence; or is required to be disclosed by law, by any court of competent jurisdiction or by any regulatory or administrative body. Each party shall hold the other's Confidential Information in confidence and, unless required by law, not make the other's Confidential Information available to any third party or use the other's Confidential Information for any purpose other than the implementation of this Agreement. Each party agrees to take all reasonable steps to ensure that the other's Confidential Information to which it has access is not disclosed or distributed by its employees or agents in violation of the terms of this Agreement. This Clause 4 shall survive expiry or termination of this Agreement for any reason.
The Software is provided "as is" without any warranty. Except as expressly provided herein, neither Druid nor its licensor makes or passes on to you or any other third party, any warranty or representation including, but not limited to, the implied warranty of merchantability and fitness for a particular purpose. Without limiting the generality of the foregoing, neither Druid nor its licensor warrants that the Software will be error-free or that it will meet requirements.
Neither Druid nor its licensor shall be liable for any damage suffered by you, including, but not limited to, consequential, incidental, indirect, special, exemplary or punitive damages or other damages whatsoever including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss arising out of the use of or inability to use the Software. The above limitations shall apply regardless of the form of action, whether in contract, tort (including negligence), strict product liability or otherwise, even if Druid or its licensor has been advised of the possibility of such damages.
Assignment of the Software is forbidden. You are not entitled to transfer the rights or to delegate its performance. Should you wish to complete an assignment, please contact Druid Software Ltd., at Druid Software Ltd, Block D, Civic Centre, Main Street, Bray, Wicklow, Ireland. Any assignment, delegation or transfer without the prior consent of Druid will be considered null and void.
You are not permitted to export this Software without first complying with the appropriate governing legislation of the country where you reside.
This Agreement is governed by and construed in accordance with the laws of Ireland.
